Where you provide a telephone number and expressly agree, you consent to receive calls and text messages (SMS) from or on behalf of Zettla at that number, including calls and messages placed using automated technology or an artificial or AI-generated voice. 17. Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the Dominican Republic, without limiting mandatory consumer protection rights that apply under the laws of the user's country of residence where such rights cannot be waived by agreement.
18. Dispute Resolution and Arbitration
Informal resolution first. Before filing any claim, you agree to contact us at support@zettla.com and attempt in good faith to resolve the dispute informally for at least 30 days.
Binding arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding individual arbitration rather than in court. For users in the United States, arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in English, remotely by videoconference or, where an in-person hearing is required, in the county of your residence. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding. If this class action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) shall proceed in court, and this shall not affect the enforceability of the waiver as to any other claim.
Exceptions. This section does not apply to: (a) individual claims within the jurisdiction of small claims court; (b) claims for injunctive relief relating to intellectual property or unauthorized access; or (c) users in jurisdictions where mandatory consumer protection law guarantees access to local courts – including consumers in the European Union, who retain the right to bring proceedings before the courts of their country of residence and to use the EU Online Dispute Resolution platform (ec.europa.eu/consumers/odr).
Opt-out. You may opt out of this arbitration agreement and class action waiver by emailing support@zettla.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms, stating your name and the email associated with your account. Opting out does not affect any other provision of these Terms.
19. General Provisions
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No waiver. Zettla's failure to enforce any provision is not a waiver of the right to enforce it later.
Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the user and Zettla regarding use of the Platform.
Assignment. Users may not assign their rights under these Terms without Zettla's consent; Zettla may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to users.
20. Contact
For questions related to these Terms, users may contact Zettla through the official communication channels provided on the Platform or via support@zettla.com.
